1.明確公司內部的幾種角色

一開始公司有幾種角色必須要清晰而明確,創始人、聯合創始人、員工、外部投資人。

創始人和聯合創始人必須要全職投入,誰兼職就不要考慮,這種騎墻行為是最沒有擔當的,創始人最重要的責任就是擔當!

1.股權綁定

這也是投資機構帶來的理念,比如我投了你之后,公司的創始人或聯合創始人,在公司的股權要有一個綁定期,比如3年、4年或5年。

其實從投資人角度來講,時間越長越好,一個項目從天使到上市,平均時間是7到8年,但創始人都希望綁定期越短越好,目前通常是3到5年的股權綁定。

從天使的角度講,你只承諾工作3到5年,如果過了綁定期你走了,這公司誰來做?

因此這個綁定期對CEO極其重要,任何一個創始公司,如果CEO走了,你根本就找不到人能夠接替他,CEO一定是創業公司不可替代的資源,而企業的成敗也都寄托在這個人身上。

比如二股東在公司擁有20%的股權,綁定期4年,就是干滿一年能落實5%,不滿一年不算數,但有的股權成熟機制會細到按月,比如干滿幾個月落實多少。

If less than one year, it does not count. However, some mature equity mechanisms may be detailed to a monthly basis, such as how much can be implemented after several months of work.
